|

Robert L. Nelson, Jr.
(Attorney, Thelen Reid) Mr. Nelson specializes in project development and finance, as well as in energy and technology sector acquisitions, joint ventures, strategic alliances, and project workouts and restructurings. He has worked on over 50 power project transactions worldwide, including gas-fired/combined cycle, coal, geothermal, wind, and solar projects. About two-thirds of those representations have been on behalf of the project sponsor (including project sponsor as EPC contractor). He also has extensive experience working on project development and finance transactions in mining (including gold mining and gold tailings recovery projects), oil and gas (including offshore oil projects and LNG projects), water, transportation, telecommunications, entertainment, and general infrastructure. His lender-side experience includes representation of multilateral financial institutions. He has played a leading role in the development and financing of many of the world's most significant energy projects, including Samalayuca (first Mexican IPP), Quezon (worldwide project of the year, 1997), Meizhou Wan (Asian project of the year, 1998), and SEGS ($1.3 billion series of solar power projects in California). In addition to working on the development and financing of many noteworthy projects, Mr. Nelson has also been extensively involved in the sales of projects or interests therein, and in numerous complex project workouts and restructurings. He recently represented Bechtel and GE in connection with the workout of the $3 billion Dabhol energy project in India.

Ira S. Rubenstein
(Investment Banker, Spencer Clarke) Mr. Rubenstein is a Senior Advisor/Investment Banker of the alternative energy and clean technology division at Spencer Clarke. More than a decade old, Spencer Clarke is a full service financial services FINRA member firm. Mr. Rubenstein founded the AE&CT division, which he co-manages, and which focuses on clean and renewable energy companies, projects and technologies. He is also Chairman of the Center for Economic and Environmental Partnership, Inc., which he conceived of and helped found. CEEP is a not-for-profit corporation that operates programs in alternative, distributed and renewable energy; environmental education; financial markets; high performance buildings; solid waste and recycling; and technology research, development and deployment in New York State, the United States, and globally. CEEP recently created Global Clean Technologies, Inc. to further goals related to these efforts. Mr. Rubenstein also serves as Founder and Executive Chairman of the Emerging Industries Alliance of New York State, Inc.. He is Chairman and a founder of Homeland Energy Resources Development, Inc. HERD develops renewable energy facilities and resources and provides advisory and consulting services to a broad range of clientele. He is a co-founder and immediate past Executive Director of the Environmental Business Association of New York State, Inc., the trade association that represents the environmental industry. In this capacity, he also provided national leadership for industry initiatives as Secretary of the Environmental Industry Coalition of the United States, which he co-founded.

From March 2003 through August 2005, Mr. Barker was the President of Midwest Research & Trading, LLC, an investment advisory business founded by Mr. Barker. From August 2001 through March 2003, Mr. Barker worked as an associate at Stull and Wood, LLC, a law firm in Pratt, Kansas. Mr. Barker received a Juris Doctor degree from the University of Kansas School of Law in 2000 and received a B.A. from University of Kansas.

RY SOUTHARD, COO: Mr. Southard has 25 years of experience in operations, management strategic planning and business development, having served as General Manager of a family office and wealth management firm.
THOMAS I. APPERSON, Investment Banker, Spencer Clarke: Mr. Apperson is a Senior Advisor/Investment Banker at Spencer Clarke. He is an experienced financial consultant and has advised both privately held and publicly traded companies on merger and acquisition strategies. He has worked on project financings, including the introduction of senior, mezzanine and equity funding for the first merchant ethanol plant in the renewable energy industry, a $75 million facility. In addition to working on bankruptcies and restructurings, he has provided advisory services ranging from financial modeling and business valuations to strategic planning. Tom gained banking experience by spending over 25 years in the banking industry including positions at Manufacturers Hanover Trust and The Bank of New York, where he was a senior credit officer in corporate banking and managed a large portfolio of underperforming accounts in the corporate restructuring group. International experience has included providing organizational and advisory services to both governmental agencies as well as private corporations in Russia, Poland, Egypt and Croatia. He is a board member of two not-for-profit organizations with oversight responsibilities of the endowment, audit and finance committees.
